If you are using our Services on behalf of a business, that business accepts these terms. It will hold harmless and indemnify Alzon Solutions and its affiliates, officers, agents, and employees from any claim, suit or action arising from or related to the use of the Services or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and attorneys’ fees.

You may use our Services only if you can form a binding contract with Alzon Solutions, and only in compliance with these Terms and all applicable laws. When you create your Alzon Solutions account, you must provide us with accurate and complete information. Any use or access by anyone under the age of 13 is prohibited. If you open an account on behalf of a company, organization, or other entity, then (a) "you" includes you and that entity, and (b) you represent and warrant that you are authorized to grant all permissions and licenses provided in these Terms and bind the entity to these Terms, and that you agree to these Terms on the entity’s behalf. Some of our Services may be software that is downloaded to your computer, phone, tablet, or other device. You agree that we may automatically upgrade those Services, and these Terms will apply to such upgrades.

Subject to these Terms and our policies (including our Privacy Policy), we grant you a limited, non-exclusive, non-transferable, and revocable license to use our Services.

Our Services allow you to upload, submit, store, send or receive content. You retain ownership of any intellectual property rights that you hold in that content. In short, what belongs to you stays yours.

When you upload, submit, store, send or receive content to or through our Services, you give Alzon Solutions (and those we work with) a worldwide license to use, host, store, reproduce, modify, create derivative works (such as those resulting from translations, adaptations or other changes we make so that your content works better with our Services), communicate, publish, publicly perform, publicly display and distribute such content. The rights you grant in this license are for the limited purpose of operating, promoting, and improving our Services, and to develop new ones. This license continues even if you stop using our Services. Some Services may offer you ways to access and remove content that has been provided to that Service. Also, in some of our Services, there are terms or settings that narrow the scope of our use of the content submitted in those Services. Make sure you have the necessary rights to grant us this license for any content that you submit to our Services.

Our automated systems analyze your content (including emails) to provide you personally relevant product features, such as customized search results, tailored advertising, and spam and malware detection. This analysis occurs as the content is sent, received, and when it is stored.

You’re responsible for your conduct. Your content and your conduct must comply with these Terms and our Privacy Policy. Content in the Services may be protected by others’ intellectual property rights. Please don’t copy, upload, download, or share content unless you have the right to do so.

We may review your conduct and content for compliance with these Terms and our Privacy Policy. With that said, we have no obligation to do so. We aren’t responsible for the content people post and share via the Services.

You may need an Alzon Solutions Account in order to use some of our Services. You may create your own Alzon Solutions Account, or your Alzon Solutions Account may be assigned to you by an administrator, such as your employer or educational institution. If you are using a Alzon Solutions Account assigned to you by an administrator, different or additional terms may apply and your administrator may be able to access or disable your account.

To protect your Alzon Solutions Account, keep your password confidential. You are responsible for the activity that happens on or through your Alzon Solutions Account. Try not to reuse your Alzon Solutions Account password on third-party applications. If you learn of any unauthorized use of your password or Alzon Solutions Account, follow these instructions.

We’ll give you a refund for a prepaid month if we stop providing our Services to you for a reason that’s not laid out in these Terms or our Privacy Policy. You won’t be entitled to a refund from us under any other circumstances. We may offer a refund if a Member applies for one based on the requirements posted on the Site.

Unless stated otherwise, or unless you cancel your subscription before the end of the applicable subscription period, your subscription will automatically renew at the end of each subscription term. If you cancel your subscription, you may use your subscription until the end of your then-current term; your subscription will not be renewed after your then-current term expires. However, you won’t be eligible for a prorated refund of any portion of the subscription fee paid for the then-current subscription period.

Unless stated otherwise, or unless required by law, all fees are non-refundable, including but not limited to fees for setup, domain registration, overage, disk space, bandwidth, or email accounts.

Our Services may contain links to third-party websites or resources. We provide these links only as a convenience and are not responsible for the content, products, or services on or available from those websites or resources or links displayed on such websites. You acknowledge sole responsibility for and assume all risk arising from, your use of any third-party websites or resources.

Because of the nature of how embedded content works, we have no control over the data collected by these websites, nor are we arbiters of how they use that data. We recommend you read the privacy policies of any third-party websites you visit.

We may also provide social media features on our Services that enable you to share Alzon Solutions content with your social networks and vice versa. These features may require the use of cookies. Please be aware that your use of these social media features is subject to the privacy policies of the social media platform you are using.

We may terminate your access to and use of the Services, at our sole discretion, at any time and without notice to you. You may cancel your Account at any time by sending an email to us. Upon any termination, discontinuation or cancellation of Services or your Account, the following provisions of these Terms will survive: Content Ownership, Warranty Disclaimers, Limitation of Liability, Indemnity, Dispute Resolution, and General Terms.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALZON SOLUTIONS AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOOD-WILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; AND (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT ALZON SOLUTIONS HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN NO EVENT WILL ALZON SOLUTIONS’ AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES EXCEED THE AMOUNTS YOU HAVE PAID TO ALZON SOLUTIONS FOR USE OF THE SERVICES OR ONE HUNDRED DOLLARS ($100), IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO ALZON SOLUTIONS, AS APPLICABLE.

THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN ALZON SOLUTIONS AND YOU.

We want to address your concerns without needing a formal legal case. Before filing a claim against Alzon Solutions, you agree to try to resolve the dispute informally by contacting us. We’ll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 15 days of submission, you or Alzon Solutions may bring a formal proceeding.

These Terms and any action related thereto will be governed by the laws of the State of California without regard to its conflict of laws provisions. The exclusive jurisdiction and venue of any action with respect to the subject matter of these Terms will be the state and federal courts located in the Northern District of California and each of the parties hereto waives any objection to jurisdiction and venue in such courts. You may not assign or transfer these Terms, by operation of law or otherwise, without Alzon Solutions’ prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null. Alzon Solutions may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

Any notices or other communications provided by Alzon Solutions under these Terms, including those regarding modifications to these Terms, will be given: (i) via email; or (ii) by posting to the Services. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.

Alzon Solutions’ failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Alzon Solutions. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.

If for any reason a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.

We may revise these Terms from time to time. The changes will not be retroactive, and the most current version of the Terms, which will always be at https://www.alzonsolutions.com/terms, will govern our relationship with you. We will try to notify you of material revisions, for example via a service notification or an email to the email associated with your account. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the revised Terms.

In the event that any provision of these Terms is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect. Alzon Solutions’ failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
